We aim to become the platform that enables achievers to reach a much greater level of success and to utilize their success to benefit society and the economy.
The following terms and conditions ("Terms") govern your use of the Site and Services (as defined below) and you should read them carefully. By using the Site, you confirm that you accept and agree to these Terms and that you agree to comply with them. If you do not agree to these Terms, do not submit an application, do not register and do not access or otherwise use our Site. We recommend that you print a copy of these Terms for future reference.

To use this Site, either as a Visitor or as a Member, or any of the Services, you may need to download software and/or content and/or agree to additional terms. You are responsible, at your own cost, for making all arrangements necessary for you to access the Site and use of the Services.
You may access some areas of the Site without being a Member. However, certain areas of the Site are only accessible to you if you are a Member.

We may amend these Terms from time to time. Every time you wish to use our Site and/or the Services, please check these Terms to ensure you understand the Terms that apply at that time. In such circumstances if you are a Member, you may be entitled to cancel the Contract and receive a refund under the CANCELLATION AND REFUND section of the Membership Terms. This will be the limit to the extent of our liability to you in such circumstances.

We may update and change our Site from time to time to reflect changes to, for example, our users' needs or technical, operational or other business priorities. We will try to give you reasonable notice of any major changes.
WE MAY SUSPEND OR WITHDRAW OUR SITE
Our Site is made available free of charge (although certain areas of the Site are only accessible to you if you are a Member and have paid your membership fee).
We do not guarantee that our Site, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Site for business, technical and/or operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.
If you are a Visitor, we will not be liable to you if, for any reason, the Site is unavailable at any time. If you are a Member, our liability is limited to any refund that you may be entitled to under the provisions of the Cancellation and Refunds section of the Membership Terms.
You are also responsible for ensuring that all persons who access our Site through your internet connection are aware of these Terms, including these Terms of Use, and that they comply with them.
HOW YOU MAY USE MATERIAL ON OUR SITE
We are the owner or the licensee of all and any intellectual property rights in our Site and our Services, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
You must not use any part of the content or the materials on our Site for commercial purposes without obtaining a licence to do so from us or our licensors.
You may print off one copy, and may download extracts, of any page(s) from our Site for your personal use.

OUR RESPONSIBILITY FOR LOSS OR DAMAGE SUFFERED BY YOU: YOUR ATTENTION IS PARTICULARLY DRAWN TO THIS CLAUSE
Access to the Site is provided "as-is" and your use of the Site is at your own risk. To the fullest extent permitted by law we expressly exclude all conditions, warranties and other terms which might otherwise be implied by statute, under common law or otherwise.
We exclude any liability for unforeseen loss or damage incurred by you in connection with the Site or in connection with the use, inability to use or results of the use of the Site or the Services, howsoever caused.
Unless you have entered into any Contract with us for the supply of Services, we exclude any liability for foreseeable loss or damage incurred by you in connection with the Site or in connection with the use, inability to use, or results of the use of the Site, howsoever caused.
If you have entered into a Contract with us for the supply of Services in accordance with the Membership Terms below, our liability to you in relation to those Services shall in no circumstances exceed a sum equal to the sums paid by you to us for the provision of those Services during the twelve months preceding the date on which the event giving rise to our liability occurred.
Loss or damage is foreseeable if either, it is obvious that it will happen or if, at the time the contract was made, both we and you knew it might happen, for example, if you discussed it with us during the application process.
For the avoidance of doubt, we do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
Please note that we only provide our Site for domestic and private use. You agree not to use our Site for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
UPLOADING CONTENT TO OUR SITE
Whenever you make use of a feature that allows you to upload content to our Site, or to otherwise make content available to other Members, you must comply with the content standards set out in our Acceptable Use Policy.
You warrant that any such contribution complies with those standards, and you will be liable to us and indemnify us for any breach of this warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

To comply with our legal obligations and to protect our legitimate interests, we also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to our Site constitutes a violation of their intellectual property rights, or of their right to privacy.
We have the right to remove any posting you make on our Site if, in our opinion, your post does not comply with the content standards set out in our Acceptable Use Policy.

By submitting suggestions or other feedback regarding our Services to us, you agree that we can use and share (but do not have to) such anonymised feedback for any purpose without compensation to you.
You must keep your account details safe
If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures and/or to access the areas of our Site as a Member, you must treat such information as confidential. You must not disclose it to any third party.
We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use.

WE ARE NOT RESPONSIBLE FOR VIRUSES AND YOU MUST NOT INTRODUCE THEM
We do not guarantee that our Site will be secure or free from bugs or viruses.
You are responsible for configuring your information technology, computer programmes and platform to access our Site. You should use your own virus protection software.
You must not misuse our Site by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our Site, the server on which our Site is stored or any server, computer or database connected to our Site. You must not attack our Site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990 or other relevant legislation. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Site and our Services will cease immediately.

RULES ABOUT LINKING TO OUR SITE
You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.
You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

WHICH COUNTRY'S LAWS APPLY TO ANY DISPUTES?
These Terms, their subject matter and their formation, are governed by English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident in another jurisdiction, in which case you may also bring proceedings in your home jurisdiction.
OUR TRADE MARKS
"TOMOUH", “TOMOUH COMMUNITY” and "TOMOUH NETWORK" are trade marks of Tomouh Limited. You are not permitted to use them, or any confusingly similar mark, without our approval, unless they are part of material you are using as permitted under the HOW YOU MAY USE OUR MATERIAL section above.
SEVERABILITY
If any court or competent authority decides that any of the provisions of these Terms are invalid, unlawful or unenforceable to any extent, the term will, to that extent only, be severed from the remaining terms, which will continue to be valid to the fullest extent permitted by law.
MISCELLANEOUS
Any words following the terms including, include, in particular, for example or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms.
These Membership Terms, together with our Terms of Use, Privacy Policy, Cookie Policy and Acceptable Use Policy, set out the entire agreement between you and us relating to the provision by us to you of the Services made available through the Site.
If you wish to receive the full range of Services provided by us, you must be a Member.
The Services provided by us include the provision of a membership account to you and enabling you to access a range of paid member-only content hosted on the Members area of the Site. This allows you: (i) to communicate with other Members either via the Site or via email; (ii) access to and use a variety of resources, including download areas communication forums; and (iii) access to other products and services, including information on upcoming events. Please note that attendance at such events will be subject to separate terms and conditions. More details on the Services can be found in the emails or links you receive relating to the events.
APPLICATION FOR MEMBERSHIP
To apply to become a Member of Tomouh, you must be referred by an existing member, including those from the TCL board, membership committee, or other affiliated bodies. Please submit your biography ("Application") by filling out the membership application form (or by any other agreed method). Following our receipt of your Application, we will review your Application. If we, in our absolute discretion, decide that the information you have provided in your Application satisfies our membership criteria, we will consider approving your Application for membership, but we do not guarantee you membership.
We reserve the right to approve or refuse any Application for membership for any reason (provided the reason is permitted by law). By submitting an Application, you agree to us verifying any information that you provide in that Application with relevant third parties or by any other means to help us decide whether to approve your Application. Such processing of your personal data is necessary for the performance of the services you wish to subscribe to (or steps taken on your request prior to entering into an agreement for the performance of services).
If we approve your Application, we will send you a welcome email. The welcome email will request that you (i) complete the registration form sent in the welcome email; and (ii) pay the membership fee, either through our Paypal or Stripe account, by clicking on the links provided in the welcome email and following the instructions provided or by bank transfer to our nominated bank account (see welcome email for details of the nominated bank account).
Please note that you must complete the registration form and pay the membership within 60 (sixty) days from the date that we send you the welcome email, failing which we will deem your Application for membership as abandoned. Please do not make any payment after this period of time. We will not be responsible for any loss suffered by you as a result of making payment after this 60 (sixty) day period. In these circumstances, if you still wish to be a Member, you will need to submit your Application again in accordance with the application procedure set out above in this section. You acknowledge that we do not guarantee that we will approve your re-submitted Application.
We will use reasonable endeavours to activate your membership account within the five-day period immediately following, the later of, (i) completion of your online registration; or (ii) receipt (in cleared funds) of your membership fee in our nominated account. We will notify you that your membership account has been activated by sending you an email, at which point a contract for the provision of our Services will come into existence between you and us ("Contract"), and you will be bound by these Membership Terms (as well as our Terms of Use, Privacy Policy, Cookie Policy and Acceptable Use Policy).
You will be entitled to access our Services, using the login details you have filled in the application form, meaning your membership with us will commence on the day that we send you an email notifying you that your membership account has been activated (the " Effective Date ").
Please note we reserve the right to change or adjust our membership criteria at any time.
PROVISIONAL MEMBERSHIP
Provisional Memberships may be granted to applicants based on the following criteria:
1. Applicants who meet the eligibility requirements but do not fulfil all criteria for Full Membership may be granted Provisional Memberships.
2. Provisional Memberships are subject to an annual review.
3. The renewal of Provisional Memberships is reliant on the assessment conducted by the committee.
Please note that the acceptance of membership applications and the granting of Provisional Memberships are at the discretion of the committee and are subject to change without prior notice.
Applicants acknowledge and agree to adhere to the terms and conditions outlined herein when applying for membership.
Tomouh reserves the right to modify, update, or terminate Provisional Membership terms at any time.
PRICE AND PAYMENT
Our membership fees are set out in the frequently asked questions on our website unless agreed otherwise and are payable in US dollars. We reserve the right to change the membership fee at any time, and for existing Members we will notify you of this by email. However, for existing members such changes will only come into effect on the next annual payment due date. If the membership fee has increased and you do not want to pay it then you must promptly notify us of this at info@tomouh.net. In such circumstances, your membership will automatically terminate on the next payment due date and on that date, we will disable your login details and if payment has been processed, we will refund this to you.
To continue to receive the Services, you must pay the applicable annual membership fee to us on each anniversary of the Effective Date. Payment must be made in accordance with the instructions set out in the welcome email. Payment for the Services must be made in advance in cleared funds.
In addition to payment of the applicable membership fee, you will be liable to pay any and all foreign exchange fees or differences in prices based on location (e.g. exchange rates) that may be applied by your bank or any other financial institution.
We accept payment through our payment processing service providers, Paypal, Inc. & Stripe, Inc. The collection and processing by Paypal, Inc. & Stripe, Inc. of your credit and debit card details and other personal data are governed by its terms and conditions.
If you opted for an automatic recurring payment method, you are deemed to authorise our designated payment processor to store your payment details and automatically charge your payment method (e.g. debit or credit card) the membership fee as and when payable, even after it has expired.
In the event that we (or our payment processor) are unable to process your membership fee for any reason whatsoever, your membership will be suspended for a period of thirty (30) days from the date that payment was due. If, after that 30-day suspension period, we still have not received or been able to process your membership fee, your Tomouh membership shall automatically terminate and your login details will be disabled, and we will not incur any liability for such action.
YOU MUST KEEP YOUR MEMBERSHIP ACCOUNT DETAILS SAFE
You must treat your login details (user name and password) as confidential. You must not disclose it to any third party, including any other Members or do anything that is likely to jeopardise the security of your account. We have the right, at any time, to disable any user login details, whether chosen by you or allocated by us and/or suspend and/or terminate your membership if, in our reasonable opinion (i) you have failed to comply with any of the provisions of these Terms; (ii) we need to safeguard your account; or (iii) we need to protect our Site from security threats.
If you knowingly provide your login details to another person, your membership may be suspended or terminated.
If you know or suspect that anyone other than you knows your user name and/or password (or you have any other reason to believe that your account is no longer secure), you must promptly notify us at info@tomouh.net.
If you fail to notify us promptly, you will be liable for any losses incurred by Tomouh or any other Member due to any unauthorised use of your account.
CONDITIONS OF MEMBERSHIP
To use our Services, you warrant and agree that:
"Minimum Age" means 18 years old for the United Kingdom. However, if the law requires that you must be older for Tomouh to lawfully provide the Services to you (including the collection, storage and use of your information, in accordance with our privacy policy set out at Part 3) then the Minimum Age is such older age.
By submitting any information to us at any time, you authorise us to verify that information at any time, if required, to ensure such information is true, accurate and complete.
We provide a platform and environment for connecting Members with other Members and for sharing information with Members. You acknowledge that if you enter into any agreement, arrangement or understanding with any other Member or Members, we have no liability or responsibility in relation to such agreement(s), arrangement(s) or understanding(s). You are responsible for any interaction you have with another Member, whether through the Site or otherwise.
We reserve the right, at any time, to amend, change, add to, remove or cancel all or any part of the Services. In such circumstances, you may be entitled to cancel the Contract and receive a refund, see the "Cancellation and Refund" section of these terms below. This will be the limit to the extent of our liability to you in such circumstances.
We have no liability for any actions or omissions of any Member, unless such actions or omissions are directly attributable to us or our employees, our subcontractors or agents.
You agree to indemnify us against all liabilities, costs, expenses, claims, damages and losses and all other reasonable professional costs and expenses suffered or incurred by us arising directly out of or in connection with:
MEMBERSHIP RULES
As a Member, you shall, at all times (including while using the Site, when sending direct messages or emails to other Members and when attending any events, meetings or other gatherings organised or facilitated by us), conduct yourself with integrity and in a professional manner and comply with certain rules, in particular you shall:
From time to time we may notify you of upcoming events, including (without limitation) Members' dinners and other services or offers specifically targeted at Members, on our Site or via email notification. If you purchase such services or offers, separate terms and conditions will apply and we will notify you of these prior to your purchase either via the relevant webpage or by email communication.
RISK
Although we try to ensure that the Tomouh network is a safe and professional environment in which to interact with other Members, you do so at your own risk.
If you decide to meet another Member, or any individual introduced to you by another Member or encountered at a Tomouh event, please take all necessary precautions.
CANCELLATION AND REFUNDS
A. Your right to change your mind and cancel the Contract under the Consumer Contracts Regulations 2013 (the "Regulations"):
Under the Regulations, consumers have certain rights to cancel contracts concluded at a distance. The Contract between you and us is such a contract and you have the right to cancel it within 14 days after the date the Contract is entered into (i.e.14 days after the date we send you the email notifying you that your membership has been activated, so if you enter into the Contract on 1 October, you may cancel at any time before the end of 15 October) (the “Cancellation Period”). Because our Services are subscription-based, you acknowledge and accept that they will be made available to you immediately on formation of the Contract and during the Cancellation Period. If you (i) change your mind after making payment but before you have entered into a Contract with us; or (ii) cancel the Contract during the Cancellation Period, we will provide you with a refund. We may deduct from that refund an amount for the supply of the Service for the period for which it was supplied to you, ending with the time when you told us you wanted to cancel the Contract. The amount of any deduction will be in proportion to what has been supplied, in comparison with the full annual membership fee.
You may cancel the Contract by notifying us at info@tomouh.net before the end of the Cancellation Period. You do not have to give us any reason for your cancellation, but should inform us that you are exercising your right to cancel by a clear statement. The Regulations require us to provide the model cancellation form to you, which you may print or copy and complete, but you do not have to use the model form. The model cancellation form can be found at the bottom of this page. We will make the reimbursement without undue delay, and not later than 14 days after the date on which you inform us of your cancellation of the Contract. We will make the reimbursement using the same means of payment as you used for the initial transaction and will not charge you any additional fees for making the reimbursement.
If you change your mind about becoming a Member after making payment but before you have entered into a Contract with us, let us know by notifying us at info@tomouh.net and we will provide you with a full refund.
B. Your right to cancel the Contract in other circumstances:
You may cancel the Contract:
If you cancel the Contract for the reasons set out in section (a) (i), (ii) or (iii) of this paragraph B, we will provide you with a refund of any membership fees paid to us for that membership year but we will make a deduction, such deduction will be in proportion to what has been supplied, in comparison with the full annual membership fee.
If you cancel the Contract for the reason set out in (b) of this paragraph B, and the Cancellation Period has ended, you will not receive a refund of the membership fee for the membership year in which you cancel.
If you wish to cancel for any reason set out in this paragraph B, please notify us of this by emailing us at info@tomouh.net.
C. Our Right to Cancel the Contract:
We may cancel the Contract immediately, by written notice: (i) if you commit a material breach of any of the terms in these Terms, which breach is irremediable, or (if such breach is remediable) you fail to remedy that breach within a period of 14 days after being notified in writing to do so; or (ii) for any other reason.
If we cancel the Contract for the reason set out in (i) of paragraph C, we will not refund you any of your membership fee for that membership year. If we cancel the Contract for reasons set out in (ii) of paragraph C, we will provide you with a refund of the membership fee for that membership year but we will make a deduction, such deduction will be in proportion to what has been supplied, in comparison with the full annual membership fee.
Any refunds to be made under paragraph B or C will be made as soon as practicable and using the same means of payment that you used for the initial transaction. Please be advised that processing a request for cancellation and refunding you any amount due under these Terms may take up to 30 days (unless you are cancelling under paragraph A, in which case you will receive any refund from us not later than 14 days after the date on which you inform us of your cancellation of the Contract)
D. Reapplying for Membership
Should you wish to receive our Services again after cancelling your membership, you must submit a fresh application according to the application procedure set out in these Membership Terms.
We do not guarantee that your re-application will be successful. Returning as a Member to Tomouh after having your membership cancelled or terminated (for any reason) is subject to our absolute discretion.
You acknowledge that if your Contract is terminated or cancelled (for any reason) or expires, your membership automatically terminates. In addition, if your membership is terminated under these Terms, the Contract will automatically terminate. In each of these circumstances we will disable your login details.
TERM
The Contract shall commence on the Effective Date and shall continue, unless terminated earlier in accordance with this Contract, for 12 months (Initial Term), when it shall terminate automatically without notice unless, no later than 30 days prior to the end of the Initial Term (or any Extended Term agreed under this paragraph), we receive payment from you of the annual membership fee, in which case the term shall be extended for a further 12 months (Extended Term). Unless it is further extended under this paragraph or terminated earlier in accordance with this Contract, the Contract shall terminate automatically without notice at the end of an Extended Term.
If you wish to cancel the Contract or do not wish to extend the term of the Contract, you are responsible for deactivating your payment subscription account, or otherwise cancelling any automatic recurring payment for the annual renewal of your membership. If, following cancellation of the Contract or expiry of the Contract, payment for the next membership year is processed, we will refund this amount to you:
(i) in full if you are cancelling for reasons set out in (a) (i), (ii) or (iii) of paragraph B above; or
(ii) if you are cancelling for reasons set out in (b) of paragraph B above or you do not want to renew the term of the Contract, we will refund the amount paid less any amount reasonably incurred by us as a result of returning the payment.
EVENTS OUTSIDE OUR CONTROL

Please note that members are given the opportunity to join the WhatsApp Groups if they wish. Due to the limitations of the app itself and the nature of WhatsApp, participants retain access to your contact number and profile photo (if you have one) when you leave the group because either you no longer wish to be part of it or in circumstances where your membership is suspended for any reason (please refer to Part 2 of this document (Membership Terms) for details of when this may happen).

7. HOW LONG YOUR PERSONAL INFORMATION WILL BE KEPT
We will keep your personal information while you have a membership with us or we are providing products and services to you. For our third party provider's personal information, we will keep that personal information while we have an account with the third party provider or they are providing services to us.

Please note that different retention periods may apply for different types of personal information. We generally keep personal information about members who have ceased their membership or for whom we are no longer providing products and services for up to 1 year after cessation of membership or provision of products and services. Thereafter, we generally keep in our records the names only of members that have ceased their membership for a period of 7 years to ensure we do not approach such members with any new membership enquiries.
We typically keep third party provider's personal information for 6 years after the third party provider is no longer engaged by us but a longer period may be required dependent on the circumstances and the types of personal data as mentioned above.
When it is no longer necessary to retain your personal information, we will delete or anonymise it.
Please note, however, that due to the nature of WhatsApp, if you have joined the WhatsApp Groups and you subsequently decide to no longer be part of it or your membership is discontinued for any reason, your contact number (and profile photo, if applicable) will continue to be visible to participants.
8. WHERE WE STORE YOUR INFORMATION AND transferring your personal INFORMATION OUT of the UK
All information you provide to us (save for any financial or payment information) is stored on Dropbox, on our website, hosted and maintained by our website providers (The Endurance International Group, Inc and Divtechnosoft) or on the client relationship management software platform we use, provided by Zoho Group.
The information that we collect from you may be transferred to, processed and stored at a destination outside the UK. It will also be processed by staff operating worldwide who work for us or for one of our service providers. This includes staff engaged in, among other things, the fulfilment of your Contract with us, the processing of your payment details (such as PayPal and Stripe) and the provision of support services. All information you provide to us (save for any financial or payment information) is stored on Dropbox, on our website, hosted and maintained by our website providers (Divetchnosoft) or on the client relationship management software platform we use, provided by Zoho Group. We utilise the security measures provided by these service providers. In addition, we our team members and staff from are restricted from downloading or viewing any documents or information related to our business and containing personal information outside Dropbox.
We do not store bank card information for our members. We use PayPal and Stripe as payment solutions and direct our members to PayPal and Stripe for processing payments to be made to us.
We have appropriate security measures to prevent personal information from being accidentally lost, or used or accessed unlawfully. We limit access to your personal information to those who have a genuine business need to access it. Those processing your information will do so only in an authorised manner and are subject to a duty of confidentiality.
We also have procedures in place to deal with any suspected data security breach. We will notify you and any applicable regulator of a suspected data security breach where we are legally required to do so.
Where you use a password which enables you to access certain parts of our Site, you are responsible for keeping that password and any other login details confidential.
